Barnes & Thornburg LLP's Finance, Insolvency and Restructuring Department handles all aspects of general representation of secured and unsecured creditors, borrowers, guarantors, trustees, and creditors' committees, including negotiating and drafting loan agreements, negotiable instruments, and other commercial transactions in both litigation and transactional aspects of the practice. Our lawyers represent creditors and obligors nationally in out-of-court workouts and refinancings, as well as in various state and federal courts, including bankruptcy proceedings, repossessions, and foreclosures. Clients served by the department include financial institutions, savings and loan associations, insurance companies, finance companies, and publicly and privately owned companies.

Specific areas of practice include regulatory compliance matters for financial institutions, development of loan notebooks and international credit transactions, and lender liability defense. The department regularly handles transactions as diverse as consumer loan programs, national fleet financings, and maritime transactions.

Our firm also represents troubled borrowers. Services offered in this area of our practice cover contract interpretation and renegotiation, out-of-court workouts, sales of distressed businesses, and bankruptcy representation in both reorganizations and liquidation proceedings.

The Finance, Insolvency and Restructuring Department has represented publicly held companies, shipyards, public syndications, trustees, and creditor committees in major bankruptcy proceedings. Our representation requires consideration of tax and labor issues, compensation matters, and negotiations or litigation with federal and state agencies.

For purposes of efficiency and economy, the department uses legal assistants for UCC searches and filings, docketing, and other case monitoring.

From our offices in Atlanta, Chicago, Delaware, Indiana, Michigan, Minneapolis, Ohio, and Washington, D.C., our lawyers have participated in committees responsible for drafting federal and local rules of bankruptcy procedure. Many are authors, speakers, and faculty members participating in state and national education programs in areas related to the department. Four members of the department have been certified as business bankruptcy specialists by the American Board of Certification. The American Board of Certification is the only national bankruptcy certification program and is sponsored by the American Bankruptcy Institute and the Commercial Law League of America. We are committed to having every primary member of the department certified. This allows our attorneys to serve a diverse client base in the multifaceted area of finance, insolvency and restructuring.

Wendy D. Brewer is a partner in Barnes & Thornburg LLP’s Indianapolis, Indiana office. She is a member of the firm’s Litigation, Finance, Insolvency and Restructuring, and Real Estate Departments; as well as the Financial Institutions Practice Group, focusing primarily on the representation of creditors and debtors in bankruptcy cases and adversary proceedings and the representation of corporate clients in commercial litigation. Ms. Brewer has been certified as a Business Bankruptcy Specialist by the American Board of Certification and in 2008, Ms. Brewer was recognized as an Indiana Super Lawyer in the bankruptcy practice area.

Ms. Brewer joined Barnes & Thornburg in 2000. Prior to joining the firm, she practiced law in Florida, where she concentrated her practice in the areas of commercial litigation, appellate practice, creditors’ rights, and insurance litigation. While practicing in Florida, she represented clients at the trial and appellate levels in both state and federal courts, including the Florida Supreme Court and the 11th Circuit Court of Appeals.

Ms. Brewer graduated from Florida State University with a B.A. magna cum laude in 1992 and received her J.D. with high honors from Florida State University College of Law in 1995. Ms. Brewer is a member of the Order of the Coif and, while in law school, served as associate editor for the Journal of Land Use and Environmental Law and as an intern for the chief justice of the Florida Supreme Court.

Ms. Brewer is admitted to practice in the state courts of Florida, Georgia, and Indiana; the U.S. District Courts for Florida, Indiana, and the Middle District of Georgia; and the 11th Circuit Court of Appeals. She is a member of the American Bankruptcy Institute, the Florida Bar, the State Bar of Georgia, the Indianapolis Bar Association, and IWIRC-Indiana. Ms. Brewer served as chair of the Commercial and Bankruptcy Law Section of the Indianapolis Bar Association in 2007.

Ms. Brewer serves on the board of directors for Happy Hollow Children’s Camp as chairperson of the Governance Committee, and on the board of directors for Partners in Housing Development Committee as Secretary and as chairperson of the Development Committee. Ms. Brewer has also served as the campaign coordinator for the firm’s annual United Way campaign since 2006, and is a graduate of the Executive Women’s Leadership Program sponsored by the United Way of Central Indiana.
